Who these terms apply to
These Terms and Conditions form an agreement between you and CODE X01 SMART SOLUTIONS - L.L.C - S.P.C ("X01", "we", "us" or "our"). By accessing this website, submitting an enquiry, accepting a proposal or ordering a service, you agree to these terms.
If a signed proposal, statement of work, subscription order or other written agreement applies to a service, that agreement will control where it conflicts with these website terms.
How work is commissioned
We provide software design and development, applied artificial intelligence, information technology consultancy, systems integration, technical operations and related digital services.
- The scope, deliverables, timetable, assumptions and fees are defined in the applicable quotation, proposal or statement of work.
- Timelines depend on timely access, approvals, content, data and feedback from the client.
- Changes outside the agreed scope may require a revised schedule and additional fees.
- Third-party platforms, licences and infrastructure may be subject to separate provider terms.
Invoices, taxes and renewals
Fees and payment milestones are stated in the applicable order or proposal. Unless otherwise agreed in writing, invoices are payable by the due date shown on the invoice. Prices exclude taxes, duties and third-party charges unless expressly stated otherwise.
We may pause work or access to a service when an undisputed invoice is overdue, after providing reasonable notice. Recurring services continue for the agreed billing period and renew only as described in the applicable order.
Information, approvals and lawful use
You must provide accurate information, maintain authorised access to your accounts, secure your credentials, obtain the permissions needed for any data supplied to us and use deliverables in compliance with applicable law.
You are responsible for reviewing deliverables and notifying us promptly of material issues during an agreed acceptance or support period. Approval, publication or production use may constitute acceptance where the applicable order provides for it.
Ownership and licences
Each party retains ownership of materials, tools, methods, software and intellectual property it owned before the engagement. Unless the applicable agreement states otherwise, ownership or a licence to custom deliverables transfers only after full payment of the related fees.
Reusable frameworks, development tools, general know-how, open-source components and third-party materials remain subject to their existing ownership and licence terms. You grant us the limited rights needed to use client-provided materials solely to perform the services.
Protecting business information
Each party must use reasonable care to protect confidential information received from the other and may use it only for the relevant engagement. This obligation does not cover information that is public through no breach, independently developed or lawfully received from another source.
Where a project involves personal or regulated data, the parties may enter into additional data-processing or security terms. You must not provide sensitive data unless its use has been agreed and appropriate safeguards are in place.
Safe and lawful systems
You must not use our website or services to violate law, infringe rights, distribute malicious code, gain unauthorised access, interfere with systems, send unlawful communications or develop harmful or deceptive applications. We may restrict access where reasonably necessary to protect users, infrastructure or third parties.
Professional care, practical limits
We will perform agreed services with reasonable skill and care. Unless expressly stated in a written agreement, the website and services are provided without a guarantee that they will be uninterrupted, error-free or suitable for every particular purpose.
AI-assisted outputs can be incomplete or inaccurate and may require human review. Clients remain responsible for decisions, approvals and uses of outputs in their business.
A proportionate allocation of risk
To the extent permitted by applicable law, neither party is liable for indirect, incidental or consequential loss, including loss of profits, opportunity or data. Our aggregate liability relating to a service will not exceed the fees paid for the affected service during the six months preceding the event giving rise to the claim.
Nothing in these terms excludes liability that cannot lawfully be excluded or limited, including liability arising from fraud, wilful misconduct or other mandatory legal rights.
Ending an engagement
Either party may terminate an engagement as allowed by its applicable agreement. We may suspend or terminate access for a material breach, unlawful use, security risk or unpaid undisputed fees after any required notice or cure period.
On termination, amounts due for completed work, committed third-party costs and authorised work in progress remain payable. Provisions intended to survive termination, including confidentiality, ownership and accrued payment rights, will continue.
UAE framework
These terms are governed by the applicable laws of the United Arab Emirates and the Emirate of Abu Dhabi. Subject to any agreed dispute-resolution procedure, the competent courts of Abu Dhabi have jurisdiction.
We may update these terms to reflect legal, operational or service changes. The effective date above identifies the current version. Material changes apply prospectively unless applicable law requires otherwise.
